Please read these Terms and Conditions ("Terms") carefully before using the Lending Drive USA website located at www.lendingdriveusa.com (the "Site") or applying for any auto loan products offered by Lending Drive USA ("Company," "we," "us," or "our"). These Terms constitute a legally binding agreement between you and Lending Drive USA.

1. Acceptance of Terms

By accessing or using our Site, submitting a loan application, or engaging with our auto loan services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use our Site or services.

Your continued use of the Site or services after any modifications to these Terms constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

We originate, underwrite, and fund auto loans directly. We are not a loan broker, marketplace, or referral service. All credit decisions are made by Lending Drive USA.

3. Eligibility

To be eligible for an auto loan from Lending Drive USA, you must:

4. Loan Application Process

4.1 Application Submission. By submitting a loan application, you certify that all information provided is true, complete, and accurate. Providing false or misleading information is grounds for immediate denial or cancellation of any approved loan and may subject you to legal liability.

4.2 Application Review. We will review your application, verify the information you provided, and conduct a credit inquiry. You authorize us to contact employers, banks, and other parties to verify information.

4.3 Credit Decisions. Loan approvals, denials, and terms are determined at our sole discretion based on our underwriting criteria, including but not limited to: credit history, income, debt-to-income ratio, vehicle type, loan-to-value ratio, and applicable law.

4.4 Adverse Action. If your application is denied, we will provide an adverse action notice in accordance with the Equal Credit Opportunity Act (ECOA) and the Fair Credit Reporting Act (FCRA), explaining the primary reasons for the denial.

4.5 Loan Offers. Any loan offer we extend is valid for the period specified in your offer letter and is subject to verification of all information submitted and the vehicle meeting our eligibility requirements at the time of funding.

5. Loan Terms and Rates

5.1 Annual Percentage Rate (APR). APR ranges are 4.9% to 24.9% depending on creditworthiness, loan amount, loan term, vehicle type, and other factors. The APR disclosed in your loan agreement is the rate that will govern your loan.

5.2 Loan Amounts. We offer auto loans ranging from $3,000 to $120,000, subject to vehicle value, income, and creditworthiness. Maximum loan amounts vary by vehicle type:

5.3 Loan Terms. Loan terms range from 24 to 84 months depending on the loan type and vehicle. Longer terms result in lower monthly payments but higher total interest paid.

5.4 Fees. Your loan agreement will disclose all applicable fees, including origination fees (if any), prepayment terms, and late payment fees. There is no prepayment penalty for paying off your loan early.

5.5 Vehicle Requirements. Financed vehicles must meet our minimum requirements regarding model year, mileage, condition, and title status. Used vehicles are generally subject to a maximum age of 10 years and 150,000 miles at the time of origination.

6. Credit Authorization

By submitting a loan application, you expressly authorize Lending Drive USA to:

A hard credit inquiry will appear on your credit report and may temporarily affect your credit score. We will only perform a hard pull after you have submitted a complete loan application.

7. Borrower Obligations

7.1 Monthly Payments. You agree to make all scheduled monthly payments on or before the due date specified in your loan agreement. Payments must be made in U.S. dollars.

7.2 Insurance. You are required to maintain comprehensive and collision insurance on the financed vehicle with Lending Drive USA listed as lienholder throughout the life of the loan. Failure to maintain adequate insurance is a default event.

7.3 Vehicle Maintenance. You are responsible for maintaining the vehicle in good condition and complying with all applicable laws regarding vehicle registration and operation.

7.4 Notification of Changes. You must promptly notify us of any change in your mailing address, phone number, employment status, or any event that materially affects your ability to repay the loan.

7.5 No Transfer of Vehicle. You may not sell, transfer, assign, or encumber the financed vehicle without our prior written consent while a balance remains on the loan.

8. Default and Remedies

8.1 Events of Default. You will be in default if you: (a) fail to make any payment when due; (b) provide false information on your application; (c) fail to maintain required insurance; (d) sell or transfer the vehicle without our consent; (e) file for bankruptcy; or (f) breach any other material term of your loan agreement.

8.2 Remedies. Upon default, we may, to the extent permitted by applicable law: (a) declare the entire unpaid balance immediately due and payable; (b) repossess the vehicle; (c) report the default to credit bureaus; and (d) pursue all other legal and equitable remedies available to us.

8.3 Repossession. Repossession will be conducted in accordance with applicable state law. You may have the right to cure a default or redeem the vehicle before or after repossession. Specific rights vary by state.

8.4 Late Payments. A late fee will be assessed for payments received after the grace period specified in your loan agreement. Consistently late payments may be reported to consumer reporting agencies and adversely affect your credit score.

9. Use of Website

9.1 Permitted Use. You may use our Site solely for lawful purposes and in accordance with these Terms. You agree not to use the Site in any way that violates any applicable law or regulation.

You are granted a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content on the Site without our express written permission.

11. Disclaimer of Warranties

THE SITE AND ALL CONTENT AND SERVICES PROVIDED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Site will be uninterrupted or error-free; (b) defects will be corrected; (c) the Site or the server that makes it available are free of viruses or other harmful components; or (d) the information on the Site is accurate, complete, or current.

The loan calculator and rate estimates provided on the Site are for informational purposes only and do not constitute a loan offer or commitment to lend. Actual rates and terms are determined through the underwriting process.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Lending Drive USA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO US IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Governing Law

These Terms and any dispute arising out of or related to these Terms or your use of the Site shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any legal action or proceeding not subject to the arbitration agreement below shall be brought exclusively in the federal or state courts located in Los Angeles County, California, and you hereby consent to the personal jurisdiction of such courts.

14. Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

14.1 Agreement to Arbitrate. You and Lending Drive USA agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, or your use of our services (collectively, "Disputes") shall be resolved by binding individual arbitration rather than in court, except as provided below.

14.2 Exceptions. Either party may seek emergency injunctive or other equitable relief from a court to prevent imminent harm. Either party may also bring claims in small claims court if they qualify.

14.3 Class Action Waiver. YOU AND Lending Drive USA EACH WAIVE THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14.4 Arbitration Rules. Arbitration shall be conducted by JAMS under its Consumer Arbitration Rules. The arbitration will take place in Los Angeles County, California, or via video conference. The arbitrator's decision shall be final and binding.

14.5 Opt-Out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to legal@lendingdriveusa.com with the subject line "Arbitration Opt-Out."

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date at the top of this page and, where appropriate, by providing additional notice (such as an email notification). Your continued use of the Site or services after changes are posted constitutes your acceptance of the revised Terms.

Changes to these Terms will not apply retroactively to loans that have already been originated under a prior version of these Terms. The terms of your executed loan agreement govern your existing loan.
